White-Label Policy
Effective Date: 08 September 2026 | Last Updated: 08 September 2026
This White-Label Policy explains the terms under which software developed and supplied by Clarvo Digital may be branded, customised, marketed, or resold under a customer’s own brand name.
By purchasing or using a white-label software product from Clarvo Digital, the customer agrees to this White-Label Policy along with the applicable Terms & Conditions, Software License Agreement, Intellectual Property Policy, Refund & Cancellation Policy, and any specific commercial agreement or quotation issued for the product.

2. What White-Label Means
White-label software means software developed, owned, or controlled by Clarvo Digital that may be presented to eligible customers or end users under another brand name, subject to the rights included in the purchased plan or written agreement.
Depending on the selected package, white-label rights may allow the customer to:
- Use their own brand name and logo.
- Present the software as their own branded product.
- Replace approved branding elements.
- Use their own domain or subdomain where technically supported.
- Market the software to their customers or users.
- Resell or provide access to the software where reseller rights are specifically included.
- Use approved custom colours, logos, icons, and other branding elements.
- White-label rights do not automatically mean ownership of the underlying software or source code.
3. Ownership of the Software
Unless a separate written agreement expressly states otherwise, all ownership rights in the underlying software remain with Clarvo Digital.
This includes, but is not limited to:
- Source code
- Object code
- Software architecture
- Backend systems
- APIs developed by Clarvo Digital
- Database structures
- Frameworks and technical components
- Proprietary functionality
- Original designs and software logic
- Documentation created by Clarvo Digital
- Proprietary tools and libraries
- Future improvements and updates
- Purchasing a white-label product does not constitute a sale or transfer of the underlying intellectual property.
4. Source Code Is Not Included
A white-label purchase does not include delivery or transfer of the software source code.
The customer receives the usage and branding rights specifically granted under the applicable purchase, license, quotation, or agreement.
If source-code ownership or transfer is required, it must be separately negotiated and expressly confirmed in a written agreement signed by the parties.
5. Branding Rights
Where white-label branding is included, the customer may be permitted to replace approved Clarvo Digital branding with their own branding.
This may include:
- Company or product name
- Logo
- Favicon
- Brand colours
- App name
- Website branding
- Login-page branding
- Selected email branding
- Selected notification branding
- The exact branding scope depends on the purchased package and technical capabilities of the software.
- Not every element of the software can necessarily be rebranded.
6. Resale Rights
White-label branding and resale rights are not necessarily the same thing.
A customer may receive white-label rights without receiving unrestricted resale rights.
Where a plan or written agreement includes reseller rights, the customer may market and sell the permitted software solution to their own customers subject to the following:
- The customer must comply with applicable laws.
- The customer must comply with this White-Label Policy.
- The customer must not claim ownership of Clarvo Digital's underlying source code.
- The customer must not reverse engineer or extract proprietary technology.
- The customer must not sell rights greater than those granted to them.
- The customer remains responsible for promises made to their own customers.
- The customer must not use the software for prohibited or unlawful activities.
7. Customer's Responsibility to Their Customers
Where the customer resells or provides white-label software to third parties, the customer is responsible for its own customer relationship.
This includes, where applicable:
- Customer onboarding
- Pricing
- Sales and marketing
- Customer contracts
- Customer support
- Refund commitments
- User communication
- Collection of required consents
- Privacy notices
- Data protection obligations
- Acceptable-use requirements
- Compliance with applicable laws
- Clarvo Digital is not automatically responsible for contractual commitments made by the reseller to its customers.
8. Customer Branding and Content
The customer is responsible for ensuring that all branding and content supplied to Clarvo Digital is lawful and does not infringe the rights of another person or organisation.
The customer must have appropriate rights to use:
- Logos
- Trademarks
- Brand names
- Images
- Videos
- Text
- Documents
- Designs
- Customer-provided materials
Clarvo Digital may refuse to implement branding or content that appears unlawful, misleading, infringing, abusive, or technically unsuitable.
9. Trademark and Brand Ownership
White-label use does not give the customer ownership of Clarvo Digital's trademarks, logos, brand identity, or intellectual property.
Likewise, Clarvo Digital does not claim ownership of the customer's legitimate trademarks, logos, or branding materials supplied for the white-label implementation.
Each party retains ownership of its respective intellectual property unless otherwise agreed in writing.
10. Customisation
White-label software may include a defined level of customisation.
Depending on the package, customisation may include:
- Logo replacement
- Colour changes
- Branding changes
- Domain configuration
- App branding
- Login-screen changes
- Basic text changes
- Selected interface modifications
- Custom development, new features, integrations, workflow changes, or major UI modifications may be charged separately.
Any additional development work should be confirmed through a quotation, order, or written agreement before implementation.
11. Third-Party Services
Some software may depend on third-party services, APIs, hosting providers, payment gateways, communication platforms, cloud services, app stores, or other external technologies.
White-label rights do not automatically transfer ownership or contractual rights relating to those third-party services.
The availability, pricing, policies, limitations, and technical requirements of third-party services may change independently of Clarvo Digital.
Where required, the customer may need to maintain its own third-party accounts or agreements.
12. Domain, Hosting and Infrastructure
Where applicable, white-label deployment may require:
- Domain registration
- Hosting
- Cloud infrastructure
- SSL certificates
- Email services
- SMS services
- WhatsApp or messaging services
- Payment gateway accounts
- API accounts
- App-store developer accounts
Unless specifically included in the purchased package, these services may be the customer's responsibility and may involve separate third-party charges.
13. App Store and Marketplace Accounts
If a white-label application is published through an app store or marketplace, the customer may be required to maintain its own developer account.
Approval, listing, suspension, rejection, or removal of an application by an app store is controlled by that marketplace and cannot be guaranteed by Clarvo Digital.
The customer is responsible for complying with applicable marketplace policies.
14. Prohibited White-Label Use
The customer must not use, market, or resell the software for:
- Illegal activities
- Fraud or deception
- Phishing or impersonation
- Malware or malicious activities
- Unauthorised access to systems
- Copyright or trademark infringement
- Spam or abusive communications
- Activities violating applicable regulations
- Activities that create unreasonable security or operational risks
- Any purpose prohibited under the Acceptable Use Policy
- Clarvo Digital may suspend or terminate access where serious misuse is identified.
15. No Reverse Engineering
The customer must not attempt to:
- Reverse engineer the software
- Decompile proprietary components
- Extract source code
- Circumvent technical restrictions
- Copy proprietary functionality
- Remove technical protections
- Reproduce the underlying software for independent distribution
- Create a competing derivative product using protected proprietary components
- Normal use of documented software functionality is permitted within the scope of the applicable license.
16. White-Label Does Not Mean Source-Code Ownership
For clarity:
White-label access ≠ source-code ownership.
The customer may receive rights to brand, use, and, where specifically permitted, resell the software. These rights do not transfer ownership of Clarvo Digital's underlying technology.
Any exception must be expressly stated in a separate written agreement.
17. Updates and Improvements
Clarvo Digital may develop updates, improvements, bug fixes, security improvements, and new versions of the software.
Unless otherwise agreed, the customer does not automatically receive ownership of these developments.
The availability of updates, upgrades, or future features depends on the applicable product, license, support arrangement, and commercial terms.
18. Support for White-Label Customers
Support provided to a white-label customer is governed by the applicable Support & Maintenance Policy, purchase terms, or separate support agreement.
If the customer operates as a reseller, Clarvo Digital may communicate primarily with the reseller rather than the reseller's end customers unless otherwise agreed.
The customer should not represent Clarvo Digital as its own internal support team unless such an arrangement has been expressly agreed.
19. Customer Data
White-label status does not transfer ownership of customer or end-user data to Clarvo Digital.
The handling of personal data and other information will depend on the actual software configuration, contractual relationship, and applicable privacy and data-protection requirements.
The customer is responsible for providing appropriate privacy notices and obtaining required permissions or consents for its own users where applicable.
20. Security Responsibilities
The customer must take reasonable measures to protect:
- Admin accounts
- Login credentials
- API keys
- Domain access
- Hosting credentials
- Payment accounts
- Third-party integrations
- User information
Customers must immediately notify Clarvo Digital of suspected unauthorised access, security incidents, or compromised credentials where Clarvo Digital's assistance may be required.
21. Suspension or Termination of White-Label Rights
Clarvo Digital may suspend or terminate white-label or reseller rights where the customer:
- Violates this policy or the applicable agreement.
- Uses the software unlawfully.
- Misuses the software.
- Infringes intellectual property rights.
- Attempts to obtain unauthorised source code.
- Engages in fraudulent activity.
- Creates a significant security risk.
- Fails to meet agreed commercial obligations.
Termination of white-label rights does not automatically transfer ownership of the software or source code to the customer.
Any post-termination rights will be determined by the applicable license or written agreement.
22. No Automatic Exclusivity
Unless expressly agreed in writing, purchasing a white-label product does not give the customer exclusive rights to the underlying software, technology, business model, features, or industry.
Clarvo Digital may continue to develop, license, modify, or provide its technology to other customers.
Any exclusivity arrangement must be separately negotiated and documented.
23. No Guarantee of Business Results
White-label software provides technology and functionality. Clarvo Digital does not guarantee that the customer will achieve any particular:
- Revenue
- Sales
- Number of customers
- Profit
- Market share
- Business growth
- Customer retention
- Conversion rate
Business results depend on factors outside Clarvo Digital's control, including the customer's pricing, marketing, sales, operations, market conditions, and customer relationships.
24. Policy Changes
Clarvo Digital may update this White-Label Policy when necessary to reflect changes in its software, services, business practices, legal requirements, or security standards.
The latest version published on the website will apply to future purchases and uses, subject to applicable contractual rights.
25. Relationship With Other Agreements
This White-Label Policy should be read together with:
- Terms & Conditions
- Software License Agreement
- Intellectual Property Policy
- Privacy Policy
- Refund & Cancellation Policy
- Support & Maintenance Policy
- Acceptable Use Policy
- Any quotation, invoice, order form, or separate written agreement
If a specific written agreement expressly provides different white-label rights, the specific agreement will govern those rights to the extent of the conflict.
26. Acceptance
By purchasing, accessing, branding, deploying, or using a white-label software product supplied by Clarvo Digital, the customer acknowledges that they have read and accepted this White-Label Policy and the applicable software license terms.
The customer is responsible for ensuring that its employees, contractors, partners, resellers, and authorised users comply with the applicable terms.
