The features, limitations, delivery method and applicable charges may differ from one product to another.
The specific product purchased by the Customer will be governed by the applicable quotation, invoice, order confirmation, proposal, license agreement or other written communication issued by Clarvo Digital.
3. Software Purchase and License
When you purchase software from Clarvo Digital, you receive the right to use the software according to the license and terms applicable to the product you have purchased.
A software purchase does not automatically mean that ownership of the underlying software is transferred to the Customer.
Unless expressly agreed otherwise in a separate written agreement, Clarvo Digital retains ownership of the underlying software and its intellectual property.
The Customer receives only the rights specifically granted under the applicable license.
4. One-Time Software Purchase
Some Clarvo Digital products are offered against a one-time payment.
A one-time payment means that the Customer pays the applicable amount for the software license or package specified at the time of purchase.
A one-time payment does not mean:
- Source code is sold to the Customer
- Copyright is transferred
- Intellectual property ownership is transferred
- The Customer becomes the owner of the underlying software
- The Customer receives unlimited future development
- The Customer receives unlimited customisation
- The Customer receives unlimited third-party services.
Any additional services, customisation, hosting, integrations, maintenance or other work will be subject to the applicable package or separate commercial agreement.
5. Source Code and Intellectual Property
This is an important part of our software licensing model.
Unless specifically agreed in writing, Clarvo Digital does not transfer or provide the software's source code to the Customer.
The source code, software architecture, database structure, proprietary logic, backend systems, APIs, frameworks, original components, documentation and other proprietary technology remain the property of Clarvo Digital or their respective rights holders.
Payment for a software license does not create any ownership interest in these materials.
The Customer may not claim, copy, extract, reproduce, sell or distribute the source code or underlying proprietary technology.
6. White-Label Software
Clarvo Digital may offer certain products as White-Label Software.
Where a White-Label package is purchased, the Customer may be permitted to present the software under its own business or brand name, subject to the rights included in the purchased package.
Depending on the package, white-label functionality may include:
- Customer's brand name
- Customer's logo
- Customer's favicon
- Customer's domain or subdomain
- Customer-facing branding
- Approved branding customisation
- Other agreed white-label elements
White-label rights do not transfer ownership of the underlying software or source code.
Unless expressly agreed otherwise, Clarvo Digital remains the owner of the underlying software and technology.
7. Reselling the Software
A White-Label license does not automatically provide unlimited resale rights.
The Customer may resell or provide the software to its own customers only where such rights are expressly included in the purchased package or separately agreed in writing.
Where reseller rights are provided, the Customer must comply with:
The applicable license limitations;
Permitted usage limits;
Branding requirements;
Customer support responsibilities;
Applicable laws;
Clarvo Digital's intellectual property requirements.
The Customer cannot sell, transfer or distribute the underlying source code.
8. Prohibited Activities
Unless expressly authorised in writing, the Customer must not:
- Copy or reproduce the source code.
- Reverse engineer the software.
- Decompile or disassemble the software.
- Attempt to extract proprietary code or technical components.
- Modify the underlying source code in an unauthorised manner.
Remove copyright or proprietary notices where removal is not permitted.
Claim ownership of Clarvo Digital's software or technology.
Sell or distribute the source code.
Create unauthorised copies of the software.
Use the software for illegal, fraudulent or abusive activities.
Circumvent security, licensing or access controls.
Use the software to infringe the rights of another person or organisation.

Customers may request additional customisation or development.
Examples include:
- New features

- API integrations
- Reports
- Additional modules
- Business-specific workflows
- Mobile application changes
- Third-party integrations
Customisation is not automatically included in the standard software price.
Where additional development is required, the scope, cost and estimated delivery timeline will be communicated separately.
10. Software Delivery and Deployment
Depending on the product, software may be delivered through:
Cloud deployment
Web application
Mobile application

Clarvo Digital server
Third-party hosting
Other agreed deployment methods
The Customer may be required to provide domain, hosting, API credentials, business information or other technical information required for deployment.
Delivery timelines may vary depending on the product, customisation and third-party dependencies.
11. Hosting and Infrastructure
Where hosting is included in the purchased package, the hosting arrangement will be subject to the applicable package terms.
Where hosting is not included, the Customer may be responsible for its own server, hosting and infrastructure costs.
Third-party hosting providers may have their own terms, limitations and service availability policies.
Clarvo Digital cannot guarantee uninterrupted availability where service availability depends upon third-party infrastructure.

Some Clarvo Digital products may depend on third-party services, including:

13. Payment Terms
The Customer agrees to pay the amount specified in the applicable quotation, invoice, order confirmation or purchase agreement.
All applicable taxes and additional charges will be handled according to the applicable invoice and commercial terms.
Where customisation or additional services are requested, additional charges may apply.
Clarvo Digital may delay delivery, activation, deployment or other services where required payments have not been received.
14. Refund and Cancellation
Refunds and cancellations are governed by the Clarvo Digital Refund & Cancellation Policy and any specific terms communicated at the time of purchase.
Because software may involve license activation, deployment, configuration, customisation or other work, refund eligibility may vary depending on the product and stage of delivery.
15. Support and Maintenance
Technical support will be provided according to the applicable product or support package.
Support may include:
- Installation assistance
- Configuration assistance
- Bug reporting
- Technical troubleshooting

New features, major modifications, custom development and third-party service issues may fall outside standard support and may involve additional charges.
16. Updates and Upgrades
Clarvo Digital may release software updates, improvements, security fixes or new features.
The availability of updates or upgrades depends on the applicable software package.
A one-time purchase does not automatically guarantee unlimited future development or lifetime access to every future feature unless expressly stated in writing.
